Confidential Non-Disclosure Agreement
This Confidential Agreement is entered into by and between "recipient" and Center for Pain & Stress Research Ltd/Acumed Medical Ltd. (Hereafter CPSR-Acumed)
Center for Pain & Stress Research Ltd/Acumed Medical Ltd (Hereafter CPSR-Acumed) possess certain proprietary and confidential information consulting or related to research, protocols and procedures developed by or utilized by Sponsor (hereinafter referred to as the "Confidential Information").
Such Confidential Information includes, but is not limited to, science, technical research and development, electrical engineering, and any apparatus used for or useful in the connection with such protocols and procedures and includes means and methods of examination and analysis of information.
By the investment of significant time, effort and expense, this confidential information is a valuable, special and unique asset of CPSR-Acumed, providing CPSR-Acumed with a significant competitive advantage, and needs to be protected. In consideration for the receipt by the recipient of the Confidential information, the recipient agrees to the following:• No disclosure: The recipient will hold the confidential information in confidence and will not disclose the Confidential information to any third parties (person) or entity without prior consent of the owner.• No Copying/Modifying: The Recipient will not copy, revise or modify any Confidential information without prior written consent of the owner.• No Unauthorized Use: The Recipient will promptly advise CPSR-Acumed, in writing, if the Recipient becomes aware of any possible unauthorized disclosure or use of the Confidential information or release of said information to 3rd parties.
Such Confidential information includes, but not limited to: product design, protocols and procedures, and includes means and methods of relating to MPS Therapy or Dolphin Neurostim. Attendee understands the information and materials presented in the class may be applied clinically only under the scope of practice of their licence & insurance.
